One of the most important S corporation compliance issues is owner compensation. An S-Corp strategy should not be built around simply labeling most of an owner's earnings as distributions.

1. Services Performed by the Owner Matter

When a shareholder performs substantial services for an S corporation, compensation and payroll requirements generally need to be considered.

2. There Is No Universal Salary Number

Reasonable compensation is fact-specific. Duties, experience, time devoted to the business, industry, location and comparable compensation can all be relevant.

3. Payroll Changes the Economics

Payroll administration and employment taxes are part of the S-Corp cost structure. A useful analysis compares potential benefits with these additional costs and responsibilities.

4. Document the Analysis

Business owners should use a supportable process rather than choosing an arbitrary low salary solely to reduce payroll taxes.
