Forming an LLC or corporation in any state, including Wyoming, does not by itself create asset protection, privacy, or a shield from creditors or lawsuits. Courts and creditors regularly look past the paperwork to the substance behind an entity: is it actually governed, is it capitalized, are contracts honored, are records kept, and are owners and related entities operating at arm's length. The 0-100 Business Compliance Score
Every review is scored on a 0-100 scale and assigned a status so you can see where your entity stands at a glance.
Green (80-100)
Governance documents, records and separation are largely in place. Maintenance and monitoring are the priority.
Yellow (60-79)
Some documentation, records or separation gaps exist. Targeted remediation can meaningfully strengthen the entity.
Red (Below 60)
Significant governance, documentation or separation gaps are present. These gaps can undermine liability protection and fundability.
What the review covers
A full review looks at the documentation and practices that support both state compliance and entity protection, including:
- Missing or outdated governance documents: operating agreements, bylaws, resolutions
- Corporate or LLC records: meeting minutes, resolutions, ownership ledgers
- Ownership, member and shareholder records
- Annual report and state compliance status, licenses and registrations where applicable
- EIN and entity name/address consistency across filings, banking and contracts
- Business banking and separation from personal finances
- Payroll and bookkeeping coordination with entity records
Where multiple entities are involved (such as a holding company and operating company, or management arrangements between related entities), our review also looks for written agreements, evidence that described services were actually performed, reasonable compensation for those services, and accounting and records that reflect the arrangement. Arrangements without these elements may not hold up under scrutiny.
