What Administrative Dissolution Means
When an Arizona corporation or LLC falls out of good standing with the Arizona Corporation Commission (ACC), the ACC may administratively dissolve it. The entity can lose its good standing, which may affect banking, contracts, licenses and funding. Common causes include:
- Overdue annual reports and unpaid penalties (corporations)
- An outdated or missing statutory agent
- An incorrect or undeliverable statutory agent address
- Unpaid fees or other filing deficiencies
Corporation vs. LLC Requirements
Corporations
Corporations file annual reports. Overdue annual reports and any applicable penalties generally must be brought current as part of reinstatement, along with the reinstatement fee and other past-due filings and fees.
LLCs
Arizona LLCs do not file annual reports. An LLC reinstatement still requires the reinstatement fee plus any past-due filings and fees, and the entity's status, name and filing history must be reviewed.
Eligibility and Exceptions
According to the ACC's official FAQ, a reinstatement application must be filed within 6 years of the administrative dissolution. The ACC reinstatement fee is $100, plus any past-due filings and fees.
- Voluntarily terminated LLCs cannot be reinstated.
- Eligibility, status, dates, entity name availability and filing deficiencies must be reviewed before filing.
- Foreign entity revocations and voluntary dissolutions require a separate review and are not covered by the same reinstatement process.
We cannot guarantee approval, legal or tax outcomes, or processing times. See the ACC's currentprocessing times.
